The 1123 Foundation

The 1123 Foundation is a Missouri nonprofit public-benefit corporation organized exclusively for charitable and educational purposes under Section 501(c)(3) of the Internal Revenue Code. Its name reflects the Fibonacci sequence — 1, 1, 2, 3 — the mathematics of small gains compounding into exponential change: meet a family's immediate need today, and each stabilized household strengthens the whole community.

Our Mission — Community Relief

The Foundation has a single, dedicated charitable purpose: Community Relief (Basic Needs)— the direct distribution of goods, services, and emergency support to low- and moderate-income households. Food, hygiene products, household essentials, and seasonal necessities reach neighbors who need them, alongside community resource events connecting residents to benefits enrollment, health screenings, and partner services. One focused mission, executed well.

Governance & Integrity

The Foundation is engineered to institutional standards from day one: a permanent independent-director majority written into its bylaws, an annual conflict-of-interest regime, and an open, competitive procurement policy aligned to federal Uniform Guidance (2 CFR Part 200). Any qualified vendor may join its prequalified pool; contracts are awarded on merit, at market rates, through documented competitive selection. No closed classes, no guaranteed contracts.

Relationship to The Black Exchange. The Black Exchange is a product of Golden Ratio Holdings, LLC, a separate for-profit company. The 1123 Foundation is an independent 501(c)(3) with its own board and finances. Your Black Exchange membership is an access fee (dues) — it is not a donation to the Foundation and is not tax-deductible. Golden Ratio Holdings may make discretionary charitable contributions to the Foundation, but the Foundation operates for the benefit of the broader community, not for the company or its members.

Status Disclosure

The 1123 Foundation is a Missouri nonprofit corporation in formation. It has not yet been granted tax-exempt status under Section 501(c)(3). Contributions are not tax-deductible until the IRS issues a determination letter (deductibility is retroactive to the incorporation date when the application is timely filed).
