Terms of Service

These Terms are a plain-language draft prepared for review by licensed counsel. They are not yet a final agreement. Governing law, arbitration, and consumer-disclosure specifics must be finalized by a Missouri attorney before launch.

1. Who We Are

The Black Exchange is a product of Golden Ratio Holdings, LLC(“the Company,” “we,” “us”), a Missouri limited liability company. By creating an account or purchasing a membership, you agree to these Terms.

2. Membership & Dues

Membership unlocks retail discounts at participating network businesses and access to the member rewards program. The membership fee is an access fee (dues). It is not a donation, a charitable gift, a security, an investment, or the purchase of any equity or ownership interest, and it is not tax-deductible. Plans and prices (for example, $4.99/month or $49.99/year) are shown at checkout and may change on notice.

3. Billing, Renewal & Cancellation

Paid memberships renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current period. Fees already paid are non-refundable except where required by law.

4. Member Rewards (Not a Security)

Active members may receive loyalty and rewards rebates — a discretionary, activity-based cash-back benefit funded from a member rewards pool. Rewards are not guaranteed, are not a profit share, distribution, interest, or return on investment, and confer no ownership or equity. The Company sets, and may change or discontinue, the rewards program in its sole discretion.

5. Discounts & the Member QR Code

Membership provides a rotating, single-use QR code for verification at participating businesses. You agree not to share, duplicate, or manipulate the code, and to use discounts only for bona fide personal purchases. Discount levels are set by participating businesses and may vary.

6. Merchant Terms

Businesses that join the network agree to honor the stated member discount, to use the Merchant Scanner only to verify legitimate member codes, and to the network fee shown at registration (including any founding-member waiver). Participation does not create a partnership, franchise, or agency relationship.

7. Acceptable Use

You agree not to misuse the service, interfere with its operation, attempt unauthorized access, or use it for unlawful purposes.

8. Disclaimers & Limitation of Liability

The service is provided “as is.” To the fullest extent permitted by law, the Company disclaims implied warranties and is not liable for indirect or consequential damages. Nothing limits liability that cannot be limited by law.

9. Governing Law & Disputes

These Terms are governed by the laws of the State of Missouri. Dispute-resolution and venue provisions are pending counsel.
